STANDING RULES
Conforming to District 22 Bylaws Approved January 14, 1996
Following are the "Standing Rules" for District 22. They are intended to provide details and guidelines to Board members, Committee members, District 22 official representatives, etc., as to proper procedure and conduct of District 22 business.
District 22's Bylaws, rightfully so, don't necessarily contain details required to conduct most District business. Standing Rules allow the Board of Directors flexibility to change procedures and methods as to District business without pursuing changes in the Bylaws.
The "Standing Rules" may also specify the basic duties/responsibilities of the major committee members. Dissemination of this information has not always been done in the past except in an informal manner.
The Article numbers coincide with the Article numbers of the District 22 Bylaws under which the standing rule operates.
Amending or rescinding standing rules: (Quote from Roberts Rules of Order)
If the document or individual rule deals with parliamentary procedure, such as the order of an agenda or rules of debate, it is considered a rule of order. A two thirds vote can suspend it for the meeting. A two thirds vote and previous notice can change it.
If the document or individual rule deals with administration, it is a standing rule. It can be suspended by a majority vote for a meeting. Members can rescind it without previous notice by a two-thirds vote or a majority vote with previous notice.

ARTICLE V- OFFICIALS
Section 3:
At the last board meeting in a calendar year, the newly elected members to the board for the following year shall be invited to the meeting.
After the current board has completed all appropriate old and new business for the year, the current board shall adjourn for the year. The newly elected members and carry over members that will constitute the board for the following year shall convene for the purposes of electing officers only. The board shall choose from among its members four officers who shall be President, Vice-President, Secretary and Treasurer. The President for the current year shall conduct the nominations and balloting for the new President. The new President shall then conduct the nominations and balloting for the remaining officers.
The new board will conduct no other business until the next meeting in the following year.

ARTICLE VI- BOARD OF DIRECTORS
Section 5:
If only one candidate has been nominated for election to a specific seat, that candidate may be declared as elected to the board by default. No further formal election procedure is required for this seat. Adopted July 1, 2004
Section 7:
When a vacancy exists the President of the Board with consent of the Board Members may appoint a substitute to serve until the next election. Adopted July 1, 2004
